Terms of Service

These Terms of Service ("Terms") are the rules for using Fieldkit.

1. Agreement to these Terms​

By using Fieldkit’s website, customer portal, APIs, or related services (together, the "Services"), you agree to these Terms.

If you are using the Services for a company or organization, you confirm you have authority to accept these Terms on its behalf.

2. Who you are contracting with​

These Terms are between you and Ponderosa Printing LLC (doing business as "Fieldkit").

3. Accounts and access​

You are responsible for:

  • keeping account credentials secure
  • making sure account information is accurate
  • activity that happens under your account

You must notify us right away if you suspect unauthorized account use.

4. Acceptable use​

You agree not to:

  • break any law while using the Services
  • interfere with security, stability, or normal operation
  • reverse engineer, scrape, or misuse the Services
  • upload harmful code (like malware)
  • use the Services to violate others’ rights

5. Your content​

You keep ownership of files and data you submit (for example artwork, order details, and messages).

You give Fieldkit permission to host, process, copy, and transmit your content only as needed to provide the Services.

You confirm you have the rights needed to submit your content.

6. Fieldkit content and software​

Fieldkit and its software, branding, and materials are owned by us or our licensors and are protected by intellectual property laws.

Except where law allows, you may not copy, modify, sell, or redistribute our software or content without permission.

7. Fees, invoices, and payments​

If your use includes paid services:

  • you agree to pay all applicable fees, taxes, and charges
  • invoices are due according to the payment terms on your order, quote, or invoice
  • late or failed payments may result in service limits or suspension

8. Third-party services​

Fieldkit may integrate with third-party services (for example payment processors, shipping providers, or identity providers).

Your use of those services is subject to their own terms and privacy policies.

9. Service changes and availability​

We may update, improve, or discontinue features from time to time.

Some features may be marked beta and may change more often.

10. Suspension and termination​

We may suspend or terminate access if:

  • these Terms are violated
  • required by law
  • needed to protect Fieldkit, customers, or the public

You may stop using the Services at any time.

11. Disclaimers​

The Services are provided "as is" and "as available."

To the extent allowed by law, we disclaim warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability​

To the extent allowed by law, Fieldkit and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total liability for claims related to the Services will not exceed the amount you paid to Fieldkit for the Services in the 12 months before the claim.

13. Indemnification​

You agree to defend, indemnify, and hold harmless Fieldkit and its affiliates from claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from:

  • your use of the Services
  • your content
  • your violation of these Terms or applicable law

14. Governing law and disputes​

These Terms are governed by the laws of Idaho, without regard to conflict-of-laws rules.

Any dispute will be resolved in the courts located in Canyon County, Idaho, and both parties consent to that venue and jurisdiction.

15. Changes to these Terms​

We may update these Terms. If we make material changes, we will post an updated version with a new effective date.

Continuing to use the Services after changes take effect means you accept the updated Terms.
